This Non-Disclosure and Demo Access Agreement (the "Agreement") is entered into as of the date electronically signed below, between HR Pulse (the "Disclosing Party"), and the individual identified in the signature block (the "Receiving Party").
The Disclosing Party discloses confidential information solely to allow the Receiving Party to evaluate a potential business relationship with HR Pulse. Any use beyond this purpose is strictly prohibited.
Includes all software design, source code, AI architecture, user interface design, product concepts, business logic, workflows, pricing, feature roadmaps, and any other non-public information disclosed in connection with the demo.
The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose to any third party without prior written consent; (c) not use for any commercial purpose outside of evaluating a potential business relationship; (d) promptly notify the Disclosing Party of any unauthorized disclosure.
Access to this demo does not constitute a license, sale, or transfer of any intellectual property rights. All rights in HR Pulse — including code, design, AI logic, and business processes — remain exclusively with the Disclosing Party.
The Receiving Party shall not decompile, disassemble, reverse-engineer, or attempt to derive the source code or logic of any portion of the software, nor recreate a substantially similar product based on knowledge gained through this demo.
For two (2) years following signing, the Receiving Party agrees not to solicit, recruit, or contract any developer known to have worked on HR Pulse to create a competing or substantially similar product.
Demo access is limited, revocable, non-transferable, and for evaluation only. The Disclosing Party may terminate access at any time. The Receiving Party agrees not to share credentials, record screen activity, or redistribute screenshots.
Upon request, the Receiving Party shall promptly return or destroy all Confidential Information and certify in writing that such destruction has occurred.
Effective from the date signed, this Agreement remains in force for three (3) years. Obligations relating to Confidential Information survive expiration indefinitely.
Any breach may cause irreparable harm. The Disclosing Party shall be entitled to seek equitable relief including injunctive relief, in addition to all other remedies at law or in equity.
Governed by the laws of the State of California. Any dispute shall be resolved in the courts of San Diego County, California.
An electronic signature has the same legal effect as a handwritten signature, consistent with the ESIGN Act and applicable state law.
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions. No amendment is effective unless made in writing and signed by both Parties.
